By using Tymr, you agree to these terms. We've tried to write them plainly. For enterprise contracts, a separately negotiated MSA will govern instead.
1. The service
Tymr provides software that ingests activity data from the tools you connect (Jira, GitHub, calendars, etc.), builds reports, and exports them. We try to make Tymr available 24/7 but don't guarantee uptime outside of contractual SLAs (Enterprise tier).
2. Your account
- You must be 18 or older, authorized to bind your organization, and provide accurate registration info
- Protect your credentials — you're responsible for activity under your account
- Your organization admin can manage access for all users in your org
- Tell us at security@tymrlogic.com immediately if you suspect unauthorized access
3. Acceptable use
Don't do any of the following with Tymr:
- Reverse-engineer, copy, or resell the service
- Use it to track individuals you don't have a lawful basis to track
- Upload data that infringes IP, violates privacy law, or contains malware
- Attempt to bypass tenant isolation, rate limits, or authentication
- Use it for high-risk automated decision-making about individuals (e.g., firing decisions made solely by the software) without appropriate human review
We may suspend or terminate accounts that violate acceptable use, with notice where possible.
4. Your data
You own your data. We process it to provide the service per our Privacy Policy. We don't use your data to train AI models without explicit written opt-in.
You grant us a limited license to host, copy, transmit, and display your data only as necessary to run the service.
5. Payment
- Free tier is free, capped at 10 users.
- Starter and Professional tiers are billed monthly in advance per active seat. Usage is metered at month end.
- Enterprise tier follows the separately signed order form.
- Trial or evaluation agreements (where applicable) are documented separately and may be free during the evaluation window.
- We notify you 30 days before any price change.
- Taxes are your responsibility unless we're required by law to collect them.
6. Intellectual property
Tymr and its content (code, design, trademarks) are ours. Your data stays yours. Feedback you give us may be used to improve the service without obligation.
7. Third-party integrations
Tymr connects to third-party services (Jira, GitHub, etc.) at your direction. Those services have their own terms — we're not responsible for them. If a third-party service changes its API and breaks our integration, we'll try to restore it quickly but can't guarantee continuity.
8. Disclaimers
Tymr is provided "as is". We disclaim implied warranties to the maximum extent permitted by law.
Important: Our R&D Credit and CapEx reports are estimates computed from your activity data. They are not tax advice or audit opinions. Use them as a starting point for your tax preparer or auditor, not as a final determination.
9. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, consequential, or punitive damages
- Our total liability in any 12-month period is capped at the amount you paid us during that period (or $100 if you paid nothing)
- This cap doesn't apply to breaches of confidentiality, indemnification obligations, or willful misconduct
10. Indemnification
You agree to defend and indemnify us against third-party claims arising from your misuse of the service or violation of these terms. We'll do the same for you regarding IP infringement claims about Tymr itself.
11. Termination
Either party can terminate with 30 days' notice. Upon termination, we export your data on request and delete it within 30 days. Sections that should survive (IP, liability, payment due) do survive.
12. Changes to these terms
For material changes we notify admins via email and in-app banner 30 days in advance. Continued use after the effective date constitutes acceptance.
13. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes go to state or federal courts in Delaware. EU/UK customers retain their mandatory statutory rights.
